By accessing or using MHarketplace ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

MHarketplace is a comprehensive online marketplace platform serving the manufactured and mobile home industry. Our services include:

• Property Marketplace: Listing and browsing manufactured homes, mobile homes, park models, tiny homes, and land for sale or rent
• Business Directory: A searchable directory of service providers across multiple categories including transport/moving companies, insurance providers, lenders, contractors, mobile home parks, dealers, inspectors, appraisers, and manufacturers
• Lead Generation: Connecting consumers with qualified service providers through lead request forms and pay-per-lead services
• Business Claims: Allowing business owners to claim and manage their directory listings
• Advertising Platform: Providing promotional opportunities for businesses to reach targeted audiences through statewide and regional campaigns
• Educational Content: Publishing blog articles and resources related to the manufactured housing industry

We do not own, sell, or manage any properties or services listed on our platform. We facilitate connections between parties but are not a party to any transactions.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use
• Maintain only one account per person or business entity

4. Property Listings

When listing a property for sale or rent on MHarketplace, you represent and warrant that:

• You have the legal right to sell, rent, or list the property
• All property information, including pricing, specifications, and condition, is accurate and truthful
• All images and media are your own or you have rights to use them
• You will respond to inquiries in a timely and professional manner
• You will update or remove listings when properties are sold, rented, or no longer available
• You comply with all applicable fair housing laws and regulations
• Images do not contain inappropriate, offensive, or copyrighted content

MHarketplace uses automated content moderation to review listings for policy compliance. Listings that violate our content policies may be flagged for review or removed without notice.

MHarketplace is not a party to any property transaction. We do not verify property conditions, titles, or seller representations. Buyers and renters are responsible for conducting their own due diligence.

5. Business Directory and Listings

Our business directory includes providers in the following categories: transport/moving, insurance, lending, contracting (including subcategories such as HVAC, plumbing, roofing, skirting, electrical, foundation, decks/porches, home installation, septic systems, and general repairs), parks, dealers, inspectors, appraisers, and manufacturers. When submitting a business listing, you agree that:

• All business information provided is accurate and current
• You are authorized to represent the business
• You will maintain current contact information and business hours
• You have appropriate licenses and insurance for services offered
• You will respond to customer inquiries professionally
• Your selected service types accurately reflect your capabilities
• You will define accurate service area markets

6. Business Claims and Ownership

Business owners may claim existing directory listings. By claiming a business, you represent that:

• You are the owner, authorized representative, or have legal authority to manage the business listing
• You consent to our verification process
• You will maintain accurate business information after claiming
• You accept responsibility for all content and interactions associated with the claimed listing

We reserve the right to reject claims that cannot be verified or that we believe to be fraudulent. Upon successful claim verification, you will receive a basic subscription and can upgrade to enhanced tiers for improved visibility.

7. Lead Forms and Service Requests

When you submit a lead form or service request (including requests for transport quotes, insurance quotes, lending inquiries, or contractor estimates), you understand and agree that:

• Your information will be shared with one or more relevant service providers in our directory
• You may be contacted by multiple service providers via phone, email, or text
• You consent to receiving communications related to your inquiry
• MHarketplace does not guarantee the availability, quality, pricing, or outcome of any services
• You are responsible for vetting and selecting service providers
• MHarketplace is not liable for any disputes between you and service providers

Lead submissions must be made in good faith. Submitting false or spam lead requests is prohibited and may result in account termination.

8. Advertising and Featured Listings

MHarketplace offers advertising and promotional services including featured listings, premium placements, and targeted advertising campaigns. Advertisers agree to:

• Provide accurate business and advertising content
• Comply with all applicable advertising laws and regulations
• Not submit misleading, deceptive, or fraudulent advertising content
• Pay all applicable fees according to the selected plan or campaign
• Accept that advertising placement and visibility are subject to our policies
• Submit creative assets for review and approval before campaign activation

All advertising creatives are subject to review and approval. We reserve the right to reject, remove, or modify any advertising content at our sole discretion. Advertising fees are non-refundable unless otherwise stated in writing. Campaign performance metrics (impressions, clicks, engagement) are provided for transparency.

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, or fraudulent listings or content
• Claiming ownership of a business you do not own or represent
• Submitting false, spam, or fraudulent lead requests to harm competitors or abuse the system
• Misrepresenting property conditions, pricing, or availability
• Impersonating another person or entity
• Violating any applicable laws or regulations
• Harassing, threatening, or intimidating other users
• Manipulating advertising metrics, impressions, or click counts
• Scraping, copying, or republishing our content without permission
• Attempting to circumvent security measures or verification systems
• Using automated systems to access the Service without permission
• Interfering with the proper functioning of the Service
• Violating fair housing laws or discriminating against protected classes
• Creating multiple accounts to bypass market limits or other restrictions
• Attempting to circumvent lead unlock payment requirements
• Uploading inappropriate, offensive, NSFW, or copyrighted images
• Manipulating or attempting to game quality scoring systems

11. Payments and Fees

• API access requires approval and issuance of API credentials
• Partners are responsible for the accuracy of data submitted via API

The Service and its original content, features, and functionality are owned by MHarketplace and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission. By submitting content to the platform, you grant us a non-exclusive license to display and distribute that content in connection with the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTINGS, BUSINESS INFORMATION, OR CONTENT. WE DO NOT VERIFY PROPERTY CONDITIONS, BUSINESS CREDENTIALS, OR SERVICE PROVIDER QUALIFICATIONS. WE ARE NOT RESPONSIBLE FOR TRANSACTIONS BETWEEN USERS OR BETWEEN USERS AND SERVICE PROVIDERS. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MHARKETPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE, RELIANCE ON LISTINGS OR BUSINESS INFORMATION, OR INTERACTIONS WITH OTHER USERS OR SERVICE PROVIDERS.

16. Indemnification

You agree to indemnify and hold harmless MHarketplace, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, your listings or content, your violation of these Terms, your violation of any rights of another, or any disputes with other users or service providers.

17. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease, and any active listings or subscriptions may be removed or cancelled.

18. Dispute Resolution

Any disputes arising from your use of the Service or these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
